Publisher Agreement

1. Acceptance and Scope

This Publisher Agreement (“Agreement”) is between the operator of MyCoinEdge and the person or entity that creates, installs, activates, markets, distributes, or operates a publisher account, embedded widget, white-label interface, API integration, or related publisher service (“Publisher,” “you,” or “your”).

This Agreement applies in addition to the MyCoinEdge Terms of Service, Privacy Policy, Disclaimer, Acceptable Use Policy, and any purchase, product, API, or configuration terms presented through the Services.

2. Definitions and Protected Parties

“Publisher Services” means all publisher accounts, widgets, embed scripts, dashboards, APIs, reports, credits, payment-enabled features, configuration tools, white-label interfaces, and related technology made available to a Publisher.

“Visitor” means any person, business, automated agent, or system that accesses or uses a Publisher’s website, widget, report, or related offering.

3. Eligibility and Authority

You represent that you are legally capable of entering into this Agreement and, if acting for a company or organization, that you have authority to bind it.

You may not use Publisher Services if your activity is unlawful, prohibited by sanctions, restricted by applicable law, or requires licenses or registrations you do not possess.

4. Limited Publisher License

Subject to continued compliance, you receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use approved Publisher Services on approved domains and pages for lawful business purposes.

The license does not transfer ownership of software, source code, APIs, reports, models, data structures, payment logic, proprietary methods, branding systems, or other intellectual property.

You may not copy, sell, sublicense, reverse engineer, extract, mirror, white-label beyond the authorized scope, or use the Publisher Services to create a competing platform without written permission.

5. Publisher Account and Information

You must provide accurate, current, and complete account, business, domain, contact, wallet, and configuration information. You are responsible for maintaining the accuracy of that information.

You are responsible for all activity under your publisher account, widget identifiers, credentials, domains, and integrations. You must promptly report suspected unauthorized access or misuse.

6. Approved Domains and Installation

Publisher widgets may be limited to approved domains, subdomains, or pages. You may install a widget only on websites you own, control, or are expressly authorized to manage.

You may not bypass domain restrictions, copy a widget to an unapproved site, obscure the approved origin, manipulate referrer or host validation, or assist another party in doing so.

You are responsible for correct installation, compatibility, website performance, accessibility, and compliance with your website’s hosting and security policies.

7. Branding, Content, and Publisher Representations

You are responsible for all publisher branding, logos, images, descriptions, claims, prices, disclosures, contact information, and website content.

Branding assets must be lawfully owned or licensed, publicly accessible where required, and free from malware, deception, infringement, or prohibited content.

You may not imply that MyCoinEdge, KepAIx, Keith, or any Protected Party owns, operates, guarantees, endorses, or is responsible for your website or business unless expressly authorized in writing.

8. Publisher Pricing and Customer Terms

Where publisher-controlled visitor pricing is supported, you are solely responsible for the price you set, the disclosures you present, the legality of the price, and the customer relationship created by that transaction.

You must clearly disclose the price before payment and may not use deceptive urgency, hidden fees, misleading discounts, false scarcity, or guaranteed-profit claims.

You are responsible for any refund, complaint, consumer-protection, or pricing obligation applicable to your relationship with Visitors, except where a separate written agreement states otherwise.

9. Visitor Payments and Publisher Earnings

Visitor payments may be sent directly to the wallet address configured by the Publisher. MyCoinEdge and other Protected Parties may not receive, hold, custody, split, or control those funds.

You are solely responsible for:

• providing the correct wallet address and supported asset information;
• maintaining control and security of the receiving wallet;
• confirming settlement and resolving Visitor payment disputes;
• accounting for income, taxes, fees, and business records;
• complying with money-transmission, consumer, tax, sanctions, and other laws; and
• ensuring your payment representations are accurate and lawful.

A payment shown on a blockchain or dashboard may still be subject to network, wallet, asset, legal, or technical risk. No Protected Party guarantees payment value, recoverability, liquidity, or tax treatment.

10. Intelligence Credits and Service Consumption

Publisher Services may require prepaid Intelligence Credits or other usage balances. Credits are service units, not money, deposits, securities, bank balances, investments, or stored-value accounts.

Credits may be consumed when reports are fulfilled, even if a Visitor later disputes, ignores, or does not use the delivered information. Usage records maintained by the platform will control absent clear evidence of error.

Credits may expire, be adjusted, suspended, or become non-refundable as stated at purchase or as required by law. Credits have no cash value and may not be transferred or resold unless expressly permitted.

11. Wallet and Blockchain Responsibilities

You control and are solely responsible for your wallet, private keys, seed phrase, credentials, transaction approvals, receiving address, and blockchain activity.

The Protected Parties are not responsible for lost keys, compromised wallets, wrong addresses, unsupported assets, failed transactions, blockchain congestion, forks, outages, stablecoin risk, wallet defects, facilitator failure, or unrecoverable payments.

12. Legal and Regulatory Compliance

You are solely responsible for determining and complying with all laws applicable to your website, business, Visitors, pricing, marketing, payments, data collection, taxes, licensing, consumer disclosures, accessibility, age restrictions, sanctions, and digital-asset activity.

You may not use Publisher Services in a jurisdiction where your activity is prohibited or where required authorization has not been obtained.

13. Marketing and Educational-Use Rules

Publisher content must clearly present market intelligence as educational information only. You may not:

• promise profits, guaranteed outcomes, or risk-free results;
• describe reports as personalized financial, investment, tax, legal, or trading advice;
• claim that a score, signal, confidence value, or market label guarantees future performance;
• misrepresent the source, age, accuracy, or certainty of information;
• use fake testimonials, fabricated performance, false scarcity, or deceptive endorsements; or
• market the Services as a brokerage, advisory, custody, fund-management, or trading service.

14. Prohibited Conduct

You may not use Publisher Services to:

• commit fraud, deception, theft, money laundering, market manipulation, harassment, or other unlawful conduct;
• bypass payments, credits, rate limits, domain restrictions, settlement verification, or security controls;
• scrape, mirror, bulk-copy, resell, republish, or commercially exploit protected content beyond the licensed scope;
• reverse engineer, decompile, disassemble, or discover proprietary formulas, models, weights, prompts, heuristics, or source code;
• introduce malware, spam, abusive traffic, automated attacks, or harmful code;
• impersonate another person or business or create misleading affiliation;
• sell unlawful products or services through or alongside Publisher Services; or
• damage the reputation, systems, users, business relationships, or legal standing of any Protected Party.

15. Security and Incident Response

You must use reasonable security measures appropriate to your website, account, wallet, visitors, and business. This includes protecting credentials, applying software updates, restricting administrative access, and monitoring for misuse.

You must promptly notify MyCoinEdge of suspected compromise, payment abuse, domain misuse, fraudulent activity, unauthorized integration, or security incidents affecting Publisher Services.

16. Records, Taxes, and Business Responsibility

You are responsible for maintaining accurate business, payment, revenue, expense, customer, tax, and compliance records.

You are solely responsible for determining, collecting, reporting, and paying taxes, fees, duties, assessments, refunds, or other amounts arising from your use of Publisher Services or receipt of Visitor payments.

17. Data, Privacy, and Visitor Information

You must maintain an accurate privacy policy and provide all notices, consent mechanisms, and rights required by laws applicable to your website and Visitors.

You may receive transaction, wallet, delivery, usage, and operational information connected with your widget. You may use that information only for lawful business purposes and must protect it from unauthorized access or disclosure.

You may not collect private keys, seed phrases, or secret wallet credentials from Visitors.

18. Availability, Changes, and Service Dependencies

Publisher Services may depend on third-party data, hosting, networks, wallets, blockchain systems, facilitators, and infrastructure. Availability is not guaranteed.

Features, prices, credits, endpoints, interfaces, supported assets, refresh intervals, or technical requirements may be changed, limited, suspended, or discontinued.

19. Intellectual Property

All software, code, APIs, reports, interface designs, models, classifications, documentation, content structures, and platform technology remain owned by or licensed to the applicable Protected Parties.

You retain rights in your lawful branding and original content. You grant the Protected Parties a limited license to host, process, reproduce, and display that material as necessary to provide Publisher Services.

20. Review, Suspension, and Termination

MyCoinEdge may review, reject, restrict, suspend, disable, or terminate a Publisher account, widget, domain, integration, or access when reasonably necessary for legal, security, operational, payment, abuse, compliance, or reputational reasons.

You may stop using Publisher Services at any time, but termination does not eliminate accrued obligations, unpaid amounts, tax duties, indemnification, confidentiality, intellectual-property protections, liability limitations, or other provisions that should survive.

21. Disclaimer of Warranties

PUBLISHER SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR PROFITABILITY.

No Protected Party guarantees revenue, traffic, conversion, payment success, customer demand, uptime, compatibility, report accuracy, legal compliance, or business results.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO PROTECTED PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; WALLET LOSS; PAYMENT LOSS; BUSINESS INTERRUPTION; REPUTATIONAL HARM; OR COST OF SUBSTITUTE SERVICES.

THE TOTAL AGGREGATE LIABILITY OF ALL PROTECTED PARTIES FOR CLAIMS ARISING FROM THIS AGREEMENT OR PUBLISHER SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID DIRECTLY BY THE PUBLISHER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT; OR (B) TEN U.S. DOLLARS (US $10.00).

23. Publisher Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless the Protected Parties from claims, demands, proceedings, liabilities, penalties, losses, damages, settlements, costs, and reasonable attorneys’ fees arising from or related to:

• your website, business, content, branding, claims, prices, advertisements, or customer relationships;
• your use or misuse of Publisher Services;
• Visitor payments directed to your wallet;
• taxes, refunds, complaints, chargebacks, regulatory inquiries, or consumer disputes involving you;
• your breach of this Agreement, law, or third-party rights;
• your negligence, fraud, willful misconduct, security failures, or unauthorized activity; or
• content, products, or services displayed alongside or connected with the Publisher Services.

24. Governing Law and Disputes

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or non-waivable law applies.

Before filing a claim, the parties will attempt in good faith to resolve the dispute informally for at least 30 days after written notice.

Any court proceeding must be brought exclusively in the state or federal courts located in the Florida county where the MyCoinEdge operator maintains its principal place of business, subject to any non-waivable right.

25. General Terms

Independent businesses

The parties are independent contractors. This Agreement does not create employment, agency, partnership, franchise, fiduciary duty, joint venture, or ownership interest.

Assignment

You may not assign this Agreement without written consent. MyCoinEdge may assign it in connection with a reorganization, licensing arrangement, sale, merger, financing, transfer of assets, or change of control.

Force majeure

No Protected Party is responsible for delay or failure caused by events beyond reasonable control, including outages, cyberattacks, blockchain failures, protocol changes, disasters, government action, war, labor disputes, or provider failures.

Severability and waiver

If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver.

Entire agreement

This Agreement and incorporated policies are the entire agreement regarding Publisher Services and replace prior discussions on the same subject.

Electronic acceptance

Clicking an acceptance control, creating or activating a widget, purchasing credits, installing embed code, or continuing to use Publisher Services constitutes electronic acceptance.
